This is an Agreement between You, the Member, and Sharon Elizabeth Photography and Elizabeth Henson Photos ("Us" or "We" or "Leverage + lead" or "Sharon Hundley" or "Elizabeth Henson"). By signing this agreement, you are accepting the terms and conditions for Leverage + Lead. Websites may include but are not limited to "www.sharonelizabethphotography.com" - "www.leverageandlead.sharonelizabethphotography.com".

TERMS.

In consideration of the mutual promises, covenants, warranties and other good and valuable consideration set forth in this Agreement, the members of the entirety of Leverage + Lead Program hereby agree as follows:

1. 6 monthly online mastermind beginning May 2021 - October 2021 via Zoom Online with access to group coaching as needed.
2. Access to the private Leverage + Lead FB Group where Sharon and Liz will facilitate and answer questions as needed. 

Payments. Members shall make either (6) non-refundable payments of $297.00 or (1) nonrefundable payments of $1,600.00. Monthly payment members shall make each respective payment due on the 1st of the month. A late payment fee of $25/day shall be applied to the late payment amount in accordance with the monthly payment plan option. 

Cancelations. Refunds. Rescheduling. Due to the nature of this Program no refunds will be given and no rescheduling is permitted. Failure to show for a meeting shall result in forfeiture of that service. The Leverage + Lead Membership MAY NOT be transferred to another Client. If the Member arrives late to a meeting, the Member will not receive a prorated payment of any monies submitted. No refunds. The schedule is subject to change and no adjustment of fees shall be applied if the schedule changes due to extenuating circumstances. All efforts will be made to notify Members.

Consent. Members confirm that you are at least 18 years old or have parental consent. Only you, the person named at the time of purchase, can benefit from these Terms and Conditions.

Website. This Website may contain links to third-party web sites or services that are not owned or controlled by Sharon Elizabeth Photography. There may be information on our site or in the Program that contains typographical errors, inaccuracies or omissions that may relate to product descriptions, pricing, promotions, offers, and availability. We reserve the right to correct any errors, inaccuracies or omissions, and to change or update information or cancel orders if any information in the Program or on any related website is inaccurate at any time without prior notice to include after you have submitted your order.

Non-compete. Any Members of the Leverage + Lead Program will not compete as a Mastermind/Group Coach within one fiscal year of the completion date. This includes and is not limited to; paid or unpaid, online, in person, digital products, etc. 

Non-Disclosure. Members understands that all materials are the exclusive property and copyright of Leverage + Lead and its representatives and are confidential information. Leverage + Lead and its representatives understand all materials shared by Members are confidential and secured.

Indemnification. Leverage + Lead and its representatives, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns and employees, shall be held harmless for any and all injury to Member and Member's business and equipment during the course of any services and any related events. Members agree not to hold Leverage + Lead responsible for the failure to appear of any Guest Speakers or if there are any changes made as it pertains to the mastermind program.

Cooperation. The parties agree to cooperate and communicate with a positive attitude for the best possible results within the definition of the Program. The Member and Leverage + Lead and its representatives agree that cheerful cooperation and punctuality are therefore essential to that purpose. There will be absolutely no verbally or physically abusive behavior allowed. If the Member is unable to control his/her conduct, it will result in the early or immediate removal of the Member. The Member understands that in such event, no refunds will be issued. In which case, all unpaid fees must be remitted within 7 days of Program removal or be subject to legal action. Cooperation includes, but is not limited to, online and in-person events.

Legal. This Agreement shall be governed by the laws of the North Carolina without regard to its conflicts of law provisions. The parties may bring an action concerning this Agreement only in the state and federal courts for North Carolina. Attorney Fees. If either party to this Contract brings a legal action against the other party to this Contract to secure the specific performance of this Contract, collect damages for breach of this Contract, or otherwise enforce or interpret this Contract, the prevailing party shall recover reasonable attorney’s fees and all costs, premiums for bonds, fees, and other expenses expended or incurred in the action in addition to any other relief that may be awarded.

Conflict Resolution. Member shall first approach Sharon Hundley or Elizabeth Henson as to any issues related to the Program services. Failure to do so will result in termination of the Program services and forfeiture of all Program fees. All unpaid Program fees shall be remitted within 7 days of Program removal or be subject to legal action.

Entirety. If any of the terms of this Agreement are invalid, unenforceable or illegal the remaining terms can still be enforced. This Agreement contains the entire agreement between the parties and supersedes any prior understanding or representation of any kind preceding the date of Program purchase. There are no other promises, conditions, understandings or other agreements, whether oral or written, relating to the subject matter of this Agreement.

Additional Services. Any "additional services" do not form part of this Agreement.

Any "additional services" (including, for example, Personal Coaching Sessions, Photography Sessions, Photography Coaching, Photography Sessions, or Training) which you contract for or agree to pay for, do not form part of this Membership Agreement and the Terms & Conditions of this Agreement will not apply to them. You should be aware that if you enter into any agreement for "additional services", you are entering into an agreement under separate Terms & Conditions defined by those specific services.

This Agreement is governed by the laws of the State of North Carolina. If not resolved first by good-faith negotiation between the Parties, every controversy or dispute relating to this Agreement shall be submitted to a mutually agreed upon Mediator in Dare County,  North Carolina. All claims against Sharon Elizabeth Photography or Elizabeth Henson must be lodged within 100-days of the date of the alleged breach or damage, whichever comes first. The Mediation shall occur within ninety (90) days from the date of the initial demand for Mediation. The Parties shall cooperate to ensure that the Mediation is completed within the ninety (90) day period. If no resolution is reached despite Mediating in good faith, either Party may file suit in court in the jurisdiction named herein.
